1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Foco's website, your Foco account, and the Foco spatial AI application (together, the "Services"), operated by Foco 3D ("Foco," "we," or "us").

By creating an account or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of a company or organization, you confirm that you have the authority to bind that organization, and "you" refers to that organization as well as the individual user.

2. Your Foco Account

To use the Services, you must register for an account. By registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your password and identification.
• Promptly notify us at info.foco3d@gmail.com if you suspect unauthorized access to your account.
• Accept all responsibility for any and all activities that occur under your account.

3. Subscriptions and Billing

3.1 Free Access

Free Access is available to general sign-ups and includes basic usage and core features, as described on our pricing page. We reserve the right to modify or terminate free access offerings at any time.

3.2 Paid Plans

Paid plans unlock additional features, usage limits, and capabilities (such as AI strategy generation and 3D exports). By subscribing to a paid plan, you authorize us (or our third-party payment processor, Stripe) to charge your payment method on a recurring basis for the plan and billing cycle you select.

• Subscriptions renew automatically unless canceled before the renewal date.
• Upgrades take effect immediately, with a prorated charge for the remainder of the current cycle.
• Downgrades take effect at the start of the next billing cycle.
• All payments are non-refundable for partial billing periods unless otherwise required by law.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in a way that doesn't infringe on others' rights or disrupt the Services for other users. You agree not to:

• Use the Services to build a competing product or reverse engineer our software.
• Attempt to circumvent account or usage limits associated with your plan.
• Upload or process content, such as 3D models or brand assets, that you do not have the rights to use.
• Interfere with the security or normal operation of the Services.

5. Intellectual Property

The Services, including our software, AI engines, simulation models, website, and branding, are owned by Foco and protected by intellectual property laws.

You retain full ownership of your event data, uploaded 3D assets, and other content you submit to the Services ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely as needed to provide the Services to you, including running AI predictions and generating layouts.

6. Limitation of Liability

To the fullest extent permitted by law, Foco will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. The Services provide AI-generated spatial strategies and simulations which should be used as guidance. We do not guarantee real-world event performance, foot traffic, or ROI.

7. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services or our practices. If we make material changes, we will notify you by email or through a notice in the Services. Continued use of the Services after changes take effect means you accept the updated Terms.
